Terms of Service

Last updated: August 29, 2026

1. What Patchly is

Patchly is a marketplace where people (“Owners”) list physical items and sell logo placements (“Spots”) on them, and businesses (“Sponsors”) purchase those placements. Patchly provides the platform, payment processing, and dispute tooling. The sponsorship agreement itself is between the Owner and the Sponsor — Patchly is not a party to it, and does not guarantee any outcome of a sponsorship beyond the payment mechanics described below.

2. The deal

When a Sponsor requests a Spot (“calling dibs”), their payment method is saved but not charged. If the Owner approves the request, the Sponsor's payment method is charged the Spot price. Funds are held by the platform until the Owner submits photographic proof that the Sponsor's logo has been applied to the item. The Sponsor then has 72 hours to review the proof; approving it — or letting the review window lapse — releases the funds to the Owner, minus the platform fee. Flagging a problem holds the funds until the Owner submits new proof or issues a refund.

3. Owner commitments

By listing an item, Owners commit to: (a) owning or controlling the item they list; (b) applying approved sponsor logos to the physical item in a workmanlike manner, reasonably matching the placement shown on their listing; (c) keeping applied logos on the item for at least 12 months from application, in the item's normal use; and (d) uploading truthful proof photos. Failing these commitments may result in refunds to Sponsors, removal of listings, and account termination.

4. Sponsor commitments

Sponsors commit to uploading only logos and content they have the right to use, and reviewing proof photos in good faith. A Sponsor may not flag a proof to avoid payment for work that was performed as described. Sponsorship purchases fund a display service, not any ownership interest in the item or its owner's activities.

5. Fees and payments

The platform fee is 5% of each sponsorship, deducted when funds are released to the Owner. Payments are processed by Stripe; Owners receive payouts through Stripe Connect and must complete Stripe's onboarding. Patchly never stores card numbers. Refunds issued before release return the full sponsorship amount to the Sponsor. Charges released to Owners that are later disputed with the card network (chargebacks) may be recovered from the Owner.

6. Content rules

Listings and logos must not include: illegal content; hate speech or harassment; sexually explicit material; content that infringes trademarks, copyrights, or personality rights; deceptive or fraudulent offers; or the promotion of products illegal to advertise to a general audience. Owners have final approval over logos on their items, and Patchly may remove any listing, logo, or account that violates these rules, at its sole discretion.

7. Liability

The service is provided “as is.” To the maximum extent permitted by law, Patchly disclaims all warranties and limits its aggregate liability to the platform fees it earned from the transaction giving rise to a claim. Patchly is not liable for the acts or omissions of Owners or Sponsors, including failure to apply or maintain logos, or the condition, use, or visibility of any item.

8. Changes and contact

We may update these terms; continued use after an update is acceptance. Questions? Reach us via the contact email on our privacy page.
